1. About these Terms

1.1 Acceptance

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you” or “your”) and Omniwo Ltd (“Omniwo”, “we”, “us” or “our”), a company registered in England and Wales.

By accessing or using any part of the Omniwo platform — including the marketing site at omniwo.com, the application dashboard at app.omniwo.com, or any related services — you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not use our services.

1.2 Effective date and version

These Terms are effective as of March 2026 and represent Version 1.2 of this document.

1.3 Changes to these Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make material changes, we will:

  • Update the “Last updated” date at the top of this document;
  • Notify you by email at the address associated with your account at least fourteen (14) days before the changes take effect;
  • Where appropriate, request that you re-accept the updated Terms before continuing to use the service.

Your continued use of the service after the effective date of any updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the service and close your account.

1.4 Additional policies

These Terms should be read in conjunction with the following documents, which form part of your agreement with us:

  • Privacy Policy — how we collect, use, and protect your personal data;
  • Medical Disclaimer (see section 8) — important limitations regarding the nature of the information we provide;
  • Cookie Policy — how we use cookies and similar technologies on our websites;
  • Refund Policy — refund and cancellation terms for orders and nurse visits.

In the event of any conflict between these Terms and any of the above documents, these Terms shall prevail unless the conflicting document expressly states otherwise.

2. About Omniwo

2.1 What we are

Omniwo is a health monitoring and preventative wellness platform that helps you build a more complete picture of your personal health by combining:

  • At-home blood biomarker testing, fulfilled through our UKAS-accredited and CQC-registered laboratory partner;
  • Optional wearable device data integration (currently supporting Oura Ring, Whoop, Strava, and Polar);
  • A personalised digital dashboard that presents your results in an accessible, easy-to-understand format;
  • Health insights designed to support your understanding of how your body functions over time.

Our goal is to make health data more accessible, understandable, and actionable for individuals interested in monitoring and maintaining their health. We believe that informed individuals are better equipped to have meaningful conversations with their healthcare providers and to make positive lifestyle choices.

2.2 Scope and limitations

It is essential that you understand the following:

  • Health monitoring, not diagnosis or treatment. Omniwo provides health insights based on blood biomarker data processed by UKAS-accredited laboratories. We do not provide medical diagnosis, clinical treatment, or prescriptions of any kind.
  • Does not replace professional medical consultation. Our service is designed to complement, not replace, advice from your GP or other qualified healthcare professional. You should always seek the advice of your doctor with any questions about a medical condition.
  • Not a regulated medical device. The Omniwo software platform has not been registered with the MHRA as a medical device. The underlying laboratory testing is performed by our regulated laboratory partner.
  • Not an emergency service. If you are experiencing a medical emergency, call 999 immediately or go to your nearest Accident & Emergency department.

3. Eligibility

3.1 Age requirement

You must be at least sixteen (16) years of age to create an account and use the Omniwo platform. By creating an account, you represent and warrant that you are at least 16 years old. We do not knowingly collect data from or provide services to anyone under the age of 16. If we become aware that a user is under 16, we will promptly terminate their account and delete their data.

3.1.1 Sample age verification

Our laboratory partner may request confirmation of age as part of their sample processing procedures. If a blood sample is submitted on behalf of, or is determined to belong to, an individual under the age of 16, the sample will not be processed and no results will be provided. In such circumstances, no refund will be issued, as the submission of a sample from an underage individual constitutes a breach of these Terms.

3.2 Geographic restriction

During our initial launch phase (MVP), the Omniwo service is available only to residents of the United Kingdom. This restriction exists because:

  • Our laboratory partner operates within the UK;
  • Sample collection kits can only be shipped to UK addresses;
  • Nurse visit services (where applicable) are available at UK locations only;
  • Our biomarker reference ranges are calibrated to UK population standards.

We may expand to additional jurisdictions in the future and will update these Terms accordingly.

3.3 Not for medical emergencies

The Omniwo platform is not designed for, and must not be used in, medical emergencies. If you believe you are experiencing a medical emergency, you should:

  • Call 999 (UK emergency services) immediately;
  • Contact NHS 111 for urgent but non-emergency medical advice;
  • Visit your nearest Accident & Emergency (A&E) department;
  • Contact your GP for non-urgent medical concerns.

Do not rely on Omniwo results to make decisions about emergency medical care. Do not delay seeking emergency medical treatment because of information displayed on the Omniwo platform.

3.4 Capacity

By using the service, you represent that you have the legal capacity to enter into a binding contract under the laws of England and Wales.

4. Account registration

4.1 Creating your account

To access the Omniwo platform, you must create an account at app.omniwo.com. During registration, you will be required to provide:

  • Your full legal name;
  • A valid email address;
  • A secure password that meets our minimum requirements;
  • Your date of birth (to verify age eligibility);
  • Your UK postal address (required for kit delivery).

4.2 Email verification

You must verify your email address before your account is fully activated. We will send a verification link to the email address you provide during registration. Until your email is verified, you will not be able to place orders or access the full functionality of the platform.

4.3 Accuracy of information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. Providing false, misleading, or outdated information constitutes a breach of these Terms and may result in suspension or termination of your account.

In particular, accurate personal details (name, date of birth, biological sex) are important because they may affect the interpretation and reference ranges applied to your blood test results.

4.4 Password security

You are responsible for maintaining the confidentiality of your account password. You agree to:

  • Choose a strong, unique password that you do not use for other services;
  • Not share your password or account credentials with any other person;
  • Notify us immediately at support@omniwo.com if you become aware of or suspect any unauthorised access to your account.

You are solely responsible for all activity that occurs under your account, whether or not authorised by you.

4.5 One account per person

Each individual may hold only one (1) Omniwo account. Creating multiple accounts is prohibited and may result in termination of all associated accounts.

4.6 Account security

We implement reasonable technical and organisational measures to protect your account. However, no method of electronic transmission or storage is 100% secure. We cannot guarantee absolute security, and you acknowledge that you provide information at your own risk.

5. Our services

5.1 Blood biomarker testing

Omniwo offers a range of blood biomarker test panels, fulfilled through our CQC-registered and UKAS-accredited laboratory partner. Our test panels measure various biomarkers across categories that may include (but are not limited to):

  • General health markers;
  • Vitamin and mineral levels;
  • Hormonal markers;
  • Metabolic markers;
  • Inflammatory markers;
  • Cardiovascular-related markers.

The specific biomarkers included in each panel are described on the relevant product page at the time of purchase. We may update the composition of test panels from time to time.

All laboratory analysis is performed by our laboratory partner (UKAS-accredited, CQC-registered). Omniwo does not perform any laboratory analysis itself. Blood test results are provided to support your health monitoring and do not constitute a medical diagnosis or treatment.

5.2 Wearable device integration

Omniwo offers optional integration with compatible wearable devices, currently including:

  • Oura Ring — sleep, activity, and readiness data;
  • Whoop — strain, recovery, and sleep data;
  • Strava — training load, workouts, and cadence;
  • Polar — heart rate, training, and recovery.

When you choose to connect a wearable device, relevant data from that device is incorporated into your Omniwo dashboard to provide a broader view of your health and wellness patterns. Wearable integration is entirely optional and is not required to use the blood testing service. Further details about wearable integration are set out in section 10 of these Terms.

5.3 Personalised dashboard

Your Omniwo dashboard at app.omniwo.com provides:

  • A clear display of your blood biomarker results with colour-coded status indicators;
  • An Overall Status summary showing how many of your tested markers fall within optimal ranges (for example, “8 of 12 markers optimal”);
  • Historical tracking of your results over time (when multiple tests have been completed);
  • Educational context and general information about what each biomarker means;
  • Where wearable data is connected, a combined view of blood and wearable data.

The dashboard is built as a single-page application (SPA) hosted on Firebase and is accessible via modern web browsers.

Note regarding future development: In future versions of the platform, we may introduce a weighted Health Score (0–100) and additional features such as trend analysis and deterministic projections. These features will be subject to the terms and limitations described in these Terms and any updates published at that time.

5.4 Health insights

Omniwo may provide health insights, lifestyle suggestions, and contextual information based on your results. These insights:

  • Are designed to support your health monitoring and preventative wellbeing;
  • Are not personalised medical advice, diagnosis, or treatment;
  • Are not a substitute for consultation with a qualified healthcare professional;
  • Should not be relied upon to make clinical decisions without consulting your GP.

6. Ordering & payment

6.1 Pricing

All prices displayed on the Omniwo platform are quoted in British Pounds Sterling (GBP) and are inclusive of Value Added Tax (VAT) where applicable. Our test panels range from approximately £39 to £319, depending on the panel selected. Optional add-on services (such as a nurse visit for venous blood draw) are priced separately and clearly stated at the time of purchase.

We reserve the right to change our prices at any time. Price changes will not affect orders that have already been placed and confirmed.

6.2 Payment processing

All payments are processed securely by Stripe, a PCI DSS Level 1 certified payment processor. Omniwo does not store your full payment card details on its own servers. By making a payment, you also agree to Stripe's terms of service.

We accept major debit and credit cards as supported by Stripe. The exact payment methods available will be displayed at checkout.

6.3 Order lifecycle

When you place an order, the following process applies:

  1. Order placed: You select a test panel, complete checkout, and payment is processed. You will receive an email confirmation of your order.
  2. Kit shipped: Your sample collection kit is dispatched by our laboratory partner to the delivery address provided. You will receive tracking information where available. Delivery times are typically 2–5 working days within the UK.
  3. Sample collection: You collect your blood sample using the kit provided (see section 7 for details). You then post the sample back to the laboratory using the pre-paid return envelope included in the kit.
  4. Laboratory analysis: Our laboratory partner receives your sample and performs the analysis. Turnaround time is approximately twenty-four (24) hours from the point the laboratory receives a valid sample.
  5. Results available: Once analysis is complete, your results are securely transmitted to Omniwo and made available on your personal dashboard at app.omniwo.com. You will receive an email notification when your results are ready to view.

6.4 Cancellation rights

Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, you have the right to cancel your order within fourteen (14) days of receiving your sample collection kit (“Cooling-Off Period”), provided that:

  • The sample collection kit has not been opened, used, or tampered with;
  • The kit is returned to us in its original, sealed condition.

You lose your right to cancel once:

  • You have opened the sealed sample collection kit;
  • You have used any component of the kit;
  • Your blood sample has been sent to the laboratory for analysis.

This is because the sample collection kit, once opened, constitutes a sealed good that is not suitable for return due to health protection and hygiene reasons, in accordance with Regulation 28(3)(b) of the Consumer Contracts Regulations 2013.

To exercise your cancellation right, contact us at support@omniwo.com within the Cooling-Off Period with your order number and a clear statement of your wish to cancel.

6.5 Refund policy

Full refunds are available in the following circumstances:

  • You cancel within the 14-day Cooling-Off Period and the kit is unused and unopened (as described in section 6.4);
  • We are unable to fulfil your order for any reason (for example, a product is discontinued or out of stock);
  • A material error in pricing occurred at the time of purchase.

Partial refunds or credit may be offered at our discretion in the following circumstances:

  • Your kit is damaged or defective upon arrival (please contact us within 48 hours of delivery with photographic evidence);
  • Significant delays in delivery that are attributable to us or our fulfilment partners.

Refunds are NOT available in the following circumstances:

  • You have opened, used, or partially used the sample collection kit;
  • Your sample has been sent to the laboratory;
  • Results have been delivered to your dashboard;
  • You simply change your mind after using the kit.

Approved refunds will be processed to your original payment method within ten (10) working days. You will receive email confirmation when the refund has been initiated. See our standalone Refund Policy for additional detail.

6.6 Nurse visit add-on

If you select the optional nurse visit service for venous blood draw, an additional fee of £76 (inclusive of VAT; £63 ex-VAT) applies. This service is subject to availability in your area. The nurse visit is fulfilled by our phlebotomy partner and is subject to their scheduling availability. If we are unable to arrange a nurse visit in your area within a reasonable timeframe, you will be offered a full refund of the nurse visit fee or the option to use a home capillary collection kit instead.

6.7 Nurse visit cancellation and non-attendance

When you book a nurse visit, a qualified phlebotomist is allocated to your appointment and travels to your specified location with a venous blood collection kit. This incurs costs to our phlebotomy partner regardless of whether the sample is collected.

Cancellation more than 2 days before your appointment: You may cancel or reschedule at no charge. The full nurse visit fee (£76 inclusive of VAT) will be refunded.

Cancellation less than 2 days before your appointment, or non-attendance (Did Not Attend): The nurse visit fee of £76 (inclusive of VAT) is non-refundable. Our phlebotomy partner charges us the full visit fee (£63 + 20% VAT = £76) for late cancellations and non-attendance, and this cost is passed through to you.

What happens to your test panel after a missed nurse visit: Your test panel order remains active. You have not lost the test itself, only the nurse visit. To complete your blood draw, you will need to book and pay for a new nurse visit (£76 inclusive of VAT). Alternatively, where your chosen panel supports finger-prick collection, you may contact us at support@omniwo.com to arrange a home capillary collection kit instead (no additional charge for the kit itself, as it is included in your original panel order).

You will not receive a replacement venous collection kit free of charge following a non-attendance or late cancellation, as the kit is brought by the phlebotomist and is specific to the scheduled appointment.

7. Sample collection

7.1 Home collection kit (capillary — finger-prick)

The standard method of sample collection is via a home capillary blood collection kit. This involves:

  • A small finger-prick lancet device that collects a capillary blood sample;
  • Clear, step-by-step instructions included in the kit;
  • A pre-paid return envelope for posting the sample to our laboratory partner's laboratory.

You are responsible for:

  • Following the instructions carefully and completely;
  • Collecting the sample at the time and in the manner specified in the kit instructions;
  • Ensuring the sample is posted promptly (ideally the same day or the next working day, and never on a Friday or before a bank holiday, to ensure the sample reaches the laboratory in a viable condition);
  • Storing the sample correctly before posting (as described in the kit instructions).

7.2 Nurse visit (venous blood draw)

If you select the nurse visit add-on (£76 inclusive of VAT; £63 ex-VAT), a qualified phlebotomist will visit a location of your choosing (subject to geographic availability) to perform a venous blood draw. The nurse visit option may be recommended for certain test panels that require a larger blood volume. The phlebotomist is an independent healthcare professional and is not employed by Omniwo.

7.3 Sample rejection

In some cases, a blood sample may be rejected by the laboratory. Common reasons for rejection include (but are not limited to):

  • Insufficient blood volume collected;
  • Sample degradation due to exposure to extreme temperatures;
  • Excessive time between collection and laboratory receipt;
  • Contamination of the sample;
  • Improper use of the collection kit.

If your sample is rejected, you will be notified by email along with guidance on how to avoid rejection when using a replacement kit. The replacement workflow is:

  • First rejection: Free replacement kit dispatched at no additional charge.
  • Second rejection (same order): You may choose either (a) a second free replacement kit with additional guidance, or (b) a full refund.
  • Third rejection (same order): Full refund issued automatically.

Repeated rejections may indicate that finger-prick collection is not viable for you, in which case we may recommend the nurse visit option for more reliable venous sample collection. See our Refund Policy, section 3.2, for additional detail.

7.4 Turnaround time

Laboratory analysis is typically completed within approximately twenty-four (24) hours from the point at which our laboratory partner receives a valid, usable sample. This does not include postal transit time, which may vary depending on Royal Mail service levels and your location.

Total time from sample collection to results appearing on your dashboard is typically:

  • Home kit: 3–7 working days (including postal transit in both directions and lab analysis);
  • Nurse visit: 2–4 working days (the nurse ships the sample directly to the lab using an expedited courier service).

These are estimates only and are not guaranteed. We are not responsible for delays caused by Royal Mail, courier services, or circumstances beyond our reasonable control.

7.5 Sample handling and safety

Your blood sample is a biological specimen. You must handle your sample collection kit and collected sample in accordance with the instructions provided. Do not attempt to collect a sample if the kit appears damaged, expired, or tampered with. Contact us at support@omniwo.com for a replacement if you have any concerns about the condition of your kit.

8. Health information disclaimer

8.1 Health monitoring purpose

All health-related information provided through the Omniwo platform — including but not limited to blood biomarker results, wearable data summaries, Overall Status indicators, and health insights — is provided to support your health monitoring and preventative wellbeing. Laboratory analysis is performed by our UKAS-accredited partner.

8.2 Not medical advice

Nothing on the Omniwo platform constitutes:

  • Medical advice;
  • A medical diagnosis;
  • A recommendation for medical treatment;
  • A prescription or suggestion to start, stop, or change any medication;
  • A recommendation to delay or forego medical care.

8.3 Not a substitute for professional care

The information provided by Omniwo is not a substitute for professional medical advice, diagnosis, or treatment. You should always consult your GP or another qualified healthcare professional before making any decisions about your health, including decisions based on information obtained through the Omniwo platform.

8.4 Snapshot, not a complete picture

A single blood test provides a snapshot of certain biomarker levels at one point in time. It does not provide a complete picture of your health. Biomarker levels can fluctuate based on numerous factors, including:

  • Time of day;
  • Hydration levels;
  • Recent food intake;
  • Physical activity;
  • Stress;
  • Medications and supplements;
  • Menstrual cycle and hormonal fluctuations;
  • Seasonal variation.

You should not draw definitive conclusions about your health from a single test result. Trends observed over multiple tests may be more informative, but should still be discussed with a healthcare professional.

8.5 Always consult your GP

If any result on your Omniwo dashboard concerns you, or if you have any questions about what your results mean for your personal health, please consult your GP or a qualified healthcare professional. Do not attempt to self-diagnose or self-treat based on Omniwo results.

9. Interpretation & results

9.1 Status levels

Your biomarker results are displayed with colour-coded status indicators to help you quickly understand where each marker falls relative to standard reference ranges. The status levels are:

  • Green (Optimal): Your result falls within the optimal range for this biomarker.
  • Amber (Suboptimal): Your result is outside the optimal range but within a broader normal range. You may wish to discuss this with your GP or consider lifestyle factors.
  • Red (Outside Range): Your result falls outside normal reference ranges. We recommend discussing this result with your GP.
  • Urgent Red (Significantly Outside Range): Your result is significantly outside normal reference ranges. We strongly recommend consulting your GP as soon as reasonably possible.

These status levels are health monitoring indicators. They are not clinical diagnoses. The reference ranges used are based on established laboratory standards (UKAS lab) but may not account for individual factors specific to you (such as medical history, medications, or pre-existing conditions).

9.2 Overall Status

Your dashboard includes an Overall Status summary. This is a simple aggregate indicator that shows how many of your tested markers fall within optimal ranges — for example, “8 of 12 markers optimal.”

The Overall Status is:

  • A health monitoring indicator designed to give you a general overview;
  • NOT a clinical assessment;
  • NOT a medical score or health rating;
  • NOT a substitute for a clinical evaluation by a healthcare professional.

The Overall Status does not weight markers by clinical importance. A marker flagged as outside the optimal range may or may not be clinically significant depending on your individual circumstances. Always discuss your results with your GP for a proper clinical interpretation.

9.3 Deterministic projections

Where the Omniwo platform displays projections or trends (in current or future versions), these are deterministic projections only. This means they are calculated using straightforward mathematical methods based on your historical data points (such as extrapolation of observed trends).

Omniwo does not make claims about artificial intelligence, machine learning predictions, or disease forecasting. Our projections:

  • Are based solely on observed data trends;
  • Do not predict the onset, progression, or outcome of any disease or medical condition;
  • Are provided to support your health monitoring;
  • Should not be relied upon for medical decision-making.

9.4 Prohibited phrases

In line with our commitment to responsible communication, the Omniwo platform does not use the following terms when describing your results or health status:

  • “Dangerous”
  • “Emergency”
  • “Critical”
  • “Life-threatening”

These terms are reserved for clinical and emergency medical contexts. Omniwo is not a clinical or emergency medical service, and using such language would be misleading and inappropriate.

9.5 Cancer marker disclaimer

Certain biomarkers that may be included in some test panels (such as PSA) are sometimes referred to colloquially as “cancer markers.” It is important to understand that:

  • An elevated level of such a biomarker does not mean you have cancer;
  • These biomarkers can be elevated for many reasons unrelated to cancer;
  • A single measurement of any biomarker is insufficient for cancer screening or diagnosis;
  • Only a qualified healthcare professional can interpret such results in the context of your full medical history, symptoms, and additional diagnostic testing.

If you have concerns about any result related to cancer markers, please consult your GP. Do not attempt to self-diagnose based on Omniwo results.

10. Wearable integration

10.1 Optional feature

Connecting a wearable device to Omniwo is entirely optional. The core blood testing and dashboard features of Omniwo work independently of any wearable device. You are under no obligation to connect a wearable to use our services.

10.2 Supported devices

Omniwo currently supports integration with:

  • Oura Ring (via Oura's official API);
  • Whoop (via Whoop's official API);
  • Strava (via Strava's official API);
  • Polar (via Polar's official API).

We may add support for additional devices in the future. We do not guarantee compatibility with all versions or models of supported devices.

10.3 Connection and consent

To connect a wearable device, you will be redirected to the device manufacturer's authorisation page (OAuth flow) where you will be asked to grant Omniwo permission to access specific data from your device account. You must:

  • Have an active account with the relevant device manufacturer;
  • Explicitly consent to the data sharing via the OAuth authorisation flow;
  • Understand what data Omniwo will access (this is described on the authorisation screen and in our Privacy Policy).

It is your responsibility to ensure your wearable device is set up correctly, syncing data to the manufacturer's cloud platform, and that the data is accurate and up to date.

10.4 Consumer-grade data

Data from wearable devices is consumer-grade data. It is collected by consumer electronics products and is not equivalent to data collected by clinical or medical-grade devices. Wearable data may contain inaccuracies, gaps, or errors. Omniwo does not verify or validate the accuracy of wearable data.

10.5 Correlation, not causation

Where Omniwo displays wearable data alongside blood biomarker results, any relationships or patterns observed are correlational only. The platform uses language such as “may relate to” or “could be associated with” to describe these relationships.

Omniwo does not claim or imply causal relationships between wearable metrics and blood biomarker levels. Observed correlations may be coincidental and should not be interpreted as evidence that one factor causes another.

10.6 Disconnection

You may disconnect a wearable device from your Omniwo account at any time through your account settings. Upon disconnection:

  • No further data will be pulled from the disconnected device;
  • Previously imported wearable data will be retained on the Omniwo platform for a period of thirty (30) days following disconnection;
  • After 30 days, disconnected wearable data will be permanently deleted from our systems;
  • Your account with the wearable device manufacturer is not affected by disconnecting from Omniwo.

11. Intellectual property

11.1 Omniwo platform IP

All intellectual property rights in the Omniwo platform — including but not limited to the software, website design, user interface, graphics, logos, trademarks, text content, algorithms, and data presentation formats — are owned by or licensed to Omniwo Ltd. These rights are protected by applicable copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, modify, distribute, create derivative works from, publicly display, or commercially exploit any part of the Omniwo platform without our prior written consent.

11.2 Your health data

You own your personal health data. This includes your blood test results, wearable data, and any personal information you provide to Omniwo. Nothing in these Terms transfers ownership of your personal health data to Omniwo.

11.3 Licence to process

By using the Omniwo platform, you grant Omniwo a non-exclusive, revocable, limited licence to collect, store, process, and display your health data solely for the purposes of:

  • Providing the services described in these Terms;
  • Generating your personalised dashboard and insights;
  • Improving our services (using aggregated, anonymised data only, as described in our Privacy Policy).

This licence is subject to the terms and conditions of our Privacy Policy. You may revoke this licence at any time by deleting your account, subject to any legal retention requirements.

12. User conduct

12.1 Acceptable use

You agree to use the Omniwo platform only for its intended purpose: to access and manage your own personal health and wellness data.

12.2 Prohibited activities

You must not:

  • Resell or commercially exploit access to the platform or any data obtained through it;
  • Scrape, crawl, or systematically extract data from the platform using automated tools, bots, scripts, or headless browsers; nor abuse our public APIs through high-volume requests, brute-force enumeration, rate-limit evasion, or any traffic pattern designed to circumvent our security or fair-use controls;
  • Reverse engineer, decompile, or disassemble any part of the Omniwo software or systems;
  • Upload or transmit any malicious code, viruses, malware, or harmful content;
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity;
  • Share your account credentials with any other person or allow anyone else to access the platform using your account; you are responsible for keeping your credentials confidential and for all activity carried out under your login;
  • Collect another person's blood sample and submit it under your account (each account must correspond to the individual whose sample is being tested);
  • Abuse promotional, referral, or discount codes, including but not limited to: creating multiple accounts to redeem single-use codes more than once, publishing or sharing private/influencer-issued codes outside their intended audience, applying codes to ineligible products, combining codes in ways not permitted at issue, using stolen or unauthorised codes, or using codes obtained through fraud or deception. We may invalidate redemptions and recover the discount amount where abuse is detected;
  • Use the platform for any unlawful purpose or in violation of any applicable law or regulation;
  • Interfere with or disrupt the operation of the platform, its servers, or networks connected to it;
  • Attempt to gain unauthorised access to any part of the platform, other user accounts, or any systems or networks connected to the platform;
  • Use the platform to generate content that is defamatory, abusive, harassing, or otherwise objectionable.

12.3 Consequences of breach

Breach of the prohibited activities listed above may result in immediate suspension or termination of your account, at our sole discretion, without prior notice. We reserve the right to report suspected unlawful activity to the relevant law enforcement authorities.

13. Limitation of liability

13.1 Maximum liability

To the fullest extent permitted by applicable law, the total aggregate liability of Omniwo Ltd (including its directors, officers, employees, agents, and affiliates) to you for any and all claims arising out of or in connection with these Terms or your use of the Omniwo platform shall not exceed the total amount paid by you to Omniwo in the twelve (12) months immediately preceding the event giving rise to the claim.

13.2 Exclusions we do not limit

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence;
  • Fraud or fraudulent misrepresentation;
  • Any liability that cannot be excluded or limited by applicable law, including under the Consumer Rights Act 2015.

13.3 Things we are not liable for

To the fullest extent permitted by applicable law, Omniwo shall not be liable for:

  • Actions or inactions of healthcare providers, including but not limited to your GP, any other medical professional, or any decisions you make based on your Omniwo results;
  • The accuracy of wearable device data, which is provided by third-party device manufacturers and is outside our control;
  • Internet connectivity issues that prevent you from accessing the platform;
  • Third-party service outages, including but not limited to outages affecting Stripe (payment processing), our hosting provider, our laboratory partner, Oura, Whoop, or Royal Mail;
  • Indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses;
  • Any delay or failure in laboratory analysis caused by sample quality, postal delays, or other factors outside our reasonable control;
  • Decisions you make based on information displayed on the Omniwo platform, including but not limited to lifestyle changes, dietary changes, supplement use, or decisions about seeking or not seeking medical care.

13.4 Reasonable care

We will provide our services with reasonable care and skill, in accordance with the Consumer Rights Act 2015. However, we do not guarantee that the platform will be error-free, uninterrupted, or available at all times. We do not guarantee the accuracy, completeness, or reliability of any information presented on the platform.

14. Indemnification

14.1 Your obligation to indemnify

You agree to indemnify, defend, and hold harmless Omniwo Ltd and its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your misuse of the Omniwo platform or any breach of these Terms;
  • Your violation of any applicable law, regulation, or third-party right;
  • Your provision of inaccurate, misleading, or false information to Omniwo (including during account registration or when using the service);
  • Any claim by a third party resulting from your use of the platform.

14.2 Conditions

This indemnification obligation:

  • Survives termination of your account and these Terms;
  • Requires that Omniwo promptly notifies you of any claim subject to indemnification;
  • Allows you to control the defence and settlement of any such claim (provided that you do not settle any claim without our prior written consent where the settlement would impose obligations on Omniwo or admit fault on our behalf).

15. Termination

15.1 Termination by you

You may close your Omniwo account at any time by navigating to the account settings section of your dashboard at app.omniwo.com and selecting the option to delete your account. You may also request account deletion by emailing support@omniwo.com.

Upon account deletion:

  • Your access to the dashboard and all associated features will cease immediately;
  • Your personal data will be handled in accordance with the data retention schedule set out in our Privacy Policy;
  • Certain data may be retained for a limited period as required by applicable law or regulatory obligations;
  • Any pending orders that have not yet been fulfilled may be cancelled, and a refund issued in accordance with section 6.5.

15.2 Termination by Omniwo

We reserve the right to suspend or terminate your account, with or without notice, in the following circumstances:

  • Breach of these Terms, including any of the prohibited activities listed in section 12;
  • Non-payment for services ordered;
  • Illegal activity conducted through or in connection with your account;
  • Prolonged inactivity (accounts inactive for more than 24 months may be flagged for closure after prior notice to you);
  • Where required by law or by a regulatory authority.

Where reasonably possible and permitted by law, we will provide you with notice before terminating your account and give you an opportunity to remedy any breach.

15.3 Effect of termination

Upon termination of your account (whether by you or by us):

  • All licences and rights granted to you under these Terms will immediately cease;
  • You must cease all use of the Omniwo platform;
  • Your data will be deleted in accordance with the retention schedule set out in our Privacy Policy;
  • Any provisions of these Terms that by their nature should survive termination will continue in effect, including sections 8, 11, 13, 14, 16, 17, and 18.

16. Governing law

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or their formation, shall be governed by and construed in accordance with the laws of England and Wales.

17. Dispute resolution

17.1 Informal resolution

If you have a complaint or dispute regarding the Omniwo service, we encourage you to contact us first at support@omniwo.com so that we can attempt to resolve the matter informally. Please include:

  • Your full name and account email;
  • A clear description of your complaint or dispute;
  • Any relevant order numbers or supporting information;
  • The outcome you are seeking.

We will acknowledge your complaint within five (5) working days and aim to provide a substantive response within fifteen (15) working days.

17.2 Escalation

If we are unable to resolve your dispute informally within thirty (30) days of your initial complaint, either party may escalate the matter to the courts.

17.3 Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, their subject matter, or their formation (including non-contractual disputes or claims).

17.4 Consumer rights

Nothing in this section affects your statutory rights as a consumer under UK law, including your right to bring a claim in the courts of your country of domicile within the UK if different from England and Wales.

18. General provisions

18.1 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.

18.2 Waiver

No failure or delay by Omniwo in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy. A waiver of any right or remedy on one occasion shall not be construed as a waiver of that or any other right or remedy on any subsequent occasion.

18.3 Entire agreement

These Terms, together with the Privacy Policy, Medical Disclaimer, and Cookie Policy, constitute the entire agreement between you and Omniwo in relation to your use of the platform. They supersede all prior agreements, representations, and understandings (whether written or oral) relating to the same subject matter.

18.4 Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms without our prior written consent. Omniwo may assign, transfer, or delegate its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, reorganisation, or sale of assets.

18.5 Force majeure

Omniwo shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond our reasonable control, including but not limited to:

  • Acts of God, natural disasters, or extreme weather events;
  • Epidemics, pandemics, or public health emergencies;
  • War, terrorism, civil unrest, or government actions;
  • Strikes, labour disputes, or industrial action;
  • Failure of telecommunications, internet infrastructure, or power supplies;
  • Postal service disruptions or courier service failures;
  • Regulatory changes or government orders.

If a force majeure event continues for more than sixty (60) days, either party may terminate these Terms by written notice to the other.

18.6 No third-party rights

A person who is not a party to these Terms shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Terms. This does not affect any right or remedy of a third party that exists or is available apart from that Act.

18.7 Notices

Any notice required or permitted to be given under these Terms shall be in writing and shall be deemed given when:

  • Sent by email and confirmed as delivered (for notices to you, at the email address associated with your account; for notices to us, at legal@omniwo.com);
  • Delivered personally;
  • Sent by recorded delivery post (deemed received two (2) working days after posting).
